The Incorporation has decided to lease 3 A330-200 aircraft from Wilmington Trust SP Services (Dublin) Limited and 1 A320-200 aircraft from Wells Fargo Bank Northwest National Association for the duration of 6 years.

- During the period of January-May 2013 total passenger carried has increased by 26%, reaching to 18 million passengers from 14.3 million passengers for the same period of 2012. Increase in number of passengers carried in domestic and international lines is 21% and 30%, respectively.
- International Business/Comfort Class passengers increased by 21% for the same period.
- L/F increased by 4.1 point to 78,5%.
- ASK with 22% increase reached to 44.1 bn during the period January-May 2013 from 36.3 bn for the same period of 2012. Increase in ASK in domestic and international lines is 19% and 22%, respectively.
- RPK with 28% increase reached to 34.6 bn during the period of January-May 2013 from 27 bn for the same period of 2012. Increase in RPK in domestic and international lines is 22% and 28%, respectively.
- Number of landing 112.861 for the period of January-May 2012 has increased to 138.532 in 2013 (23%).
- During the period January-May 2013, number of destinations has increased by 21%, reaching to 228 from 189 for the same period in 2012.
- Cargo/Mail carried during the period of January-May 2013 reached to 215.577 tons from 188.798 tons in 2012 (+14).

We have previously announced that our Incorporation has invited the Hava-İs Union to sign the 24th Collective Bargaining Agreement by May 22, 2013 and in the event that the 24th Collective Bargaining Agreement was not signed by that date, our Incorporation would grant a pay increase to all employees. Since it is understood that the intention of the Union is not to sign the 24th Collective Bargaining Agreement by reconciling, our Incorporation has decided on the following:
- All working conditions, social and employee rights of all of our staff and all the rules and limits relating to the flight planning of cockpit and cabin crew based on the 23rd Collective Bargaining Agreement will remain the same.
- Wage increase of 5% for the first half of 2013, %3 for the second half of 2013 (year end cumulative: 8.1%)
- Wage increase of 3% for the first half of 2014, %3 for the second half of 2014 (year end cumulative: 6.1%)
In case the CPI exceeds these ratios, the difference with the CPI will be reflected to the wages.
With this decision taken, Collective Bargaining Agreement and all the happenings in this context are no longer on Turkish Airlines’ agenda.

Previously we have announced that the Incorporation has decided to acquire MNG Teknik Uçak Bakım Hizmetleri A.Ş. The acquisition has been approved by the Turkish Competition Authority and a Share Transfer Agreement has been signed by the parties involved as of today.

Previously we have announced that, as part of its international expansion strategy to improve its technical capabilities; Turkish Airlines Technic, Inc., a wholly owned subsidiary of Turkish Airlines, Inc., has signed a non-binding Letter of Intent with GORE Designs Completions Ltd. and its shareholders located in San Antonio, TX, USA with a view to explore potential acquisition or partnership opportunities and that a due diligence study would be started accordingly. As a result of the the due diligence study and the negotiations made with GORE Designs Completions Ltd. and its shareholders, our Incorporation has decided not to acquire the related firm in accordance with the commercial interests of the corporation.

Because Turkish Airlines employees chose not to participate in the strike that was initiated by Hava-Is Union Labor on May 15th, our operations have continued without interruption. In order to come to an agreement, our Incorporation has invited the Hava-Is Union Labor to sign the 24th Collective Bargaining Agreement by May 22, 2013. In the event that the 24th Collective Bargaining Agreement is not signed by that date, our Incorporation has decided to grant a pay increase to all employees, whether they are members of the Union or not. This will be done without any changes to the working conditions or social and employee rights of all of our staff based on the 23rd Collective Bargaining Agreement. In addition, all the rules and limits relating to the flight plannings of our cockpit and cabin crew will remain the same based on the 23rd Collective Bargaining Agreement.

Due to the current status of the process between Turkish Airlines and Hava-İş Labor Union’s “Collective Bargaining Agreement,” Turkish Airlines’ CEO Temel Kotil, has postponed the vacation he had requested to tend to his father’s illness until next week. Some media outlets reported that this situation resulted from a management dispute. This is entirely false; there are no disagreements within Turkish Airlines management.

Traffic results for the period of January-April 2013 are as follows:
- During the period of January-April 2013 total passenger carried has increased by 26%, reaching to 13.9 million passengers from 11.1 million passengers for the same period of 2012. Increase in number of passengers carried in domestic and international lines is 18% and 31%, respectively.
- International Business/Comfort Class passengers increased by 21% for the same period.
- L/F increased by 4.3 point to 78,3%.
- ASK with 21% increase reached to 34.3 bn during the period January-April 2013 from 28.3 bn for the same period of 2012. Increase in ASK in domestic and international lines is 17% and 22%, respectively.
- RPK with 28% increase reached to 26.8 bn during the period of January-April 2013 from 20.9 bn for the same period of 2012. Increase in RPK in domestic and international lines is 20% and 30%, respectively.

We have previously announced that as a result of the negotiations relating to the 24th contract period, Hava-Is union gave strike notification to our Incorporation. Today, Hava –İş Union notified their decision to our Incorporation that the strike will begin on 15.05.2013. Despite the strike decision, our Incorporation has not taken lockout decision and will continue its’ operations within this framework. It is possible that the parties shall agree on the Collective Bargain Agreement until the strike date. The public will be informed about the developments in the process going forward.

The negotiations relating to the 24th contract period which has started on 16.01.2013, have, as yet, been unsuccessful in reaching a new agreement and thus, in accordance with the law #6356, Hava-Is union gave strike notification to our Incorporation on 10.04.2013. However, this notification does not mean the beginning of an actual strike and Board of Directors has passed on their offer to the Hava İş Union that the negotiations shall continue. As per the aforementioned law, Hava-Is union could go on strike by notifying the Incorporation 6 business days prior to the actual strike date.

In order to insure the need for narrow body aircraft, the Incorporation has decided to purchase a total of 95 aircraft from Boeing Company, of which 20 to be delivered in 2016, 20 in 2018, 15 in 2019, 30 in 2020 and 10 in the year 2021. The total order comprises 70 firm and 25 optional aircraft, out of which, 20 B737-800, 65 B737-8 MAX and 10 B737-9 MAX.

Previously, we have announced that, in order to insure the increasing need for MRO services which will rise from the fleet plan for the upcoming years, the Incorporation has decided to start negotiations for buying or partnering with MNG Teknik Uçak Bakım Hizmetleri A.Ş and a goodwill agreement has been signed between parties. As a result of the negotiations, the Incorporation has decided to acquire MNG Teknik Uçak Bakım Hizmetleri A.Ş. Share Transfer Agreement will be signed by the parties involved, upon the approval of the Turkish Competition Authority. Updated information will be announced subsequently.

In order to insure the need for narrow body aircraft, the Incorporation has decided to purchase a total of 117 aircraft from Airbus Company, of which 13 to be delivered in 2015, 14 in 2016, 6 in 2017, 27 in 2018, 25 in 2019 and 32 in the year 2020. The total order comprises 82 firm and 35 optional aircraft, out of which, 25 A321-200, 4 A320 NEO and 88 A321 NEO.

- reaching to 39 million passengers from 32.7 million passengers for the same period of 2011. International Business/Comfort Class and Transfer passengers increased by 33,8% and 43,6%, respectively for the same period.
- L/F increased by 5,1 point to 77,7%.
- ASK with 18,4% increase reached to 96.1 bn during the period of January-December 2012 from 81.2 bn for the same period of 2011.
